1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services offered by Conplexus LLC, a Connecticut limited liability company ("Conplexus", "we", "our", or "us"), including CurricuLogic™ and any related websites, dashboards, or software (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

Conplexus provides software tools that assist academic programs, institutions, and authorized users with:

  • Curriculum mapping
  • Accreditation-related analytics
  • Data visualization
  • Survey data processing
  • Workflow automation

The Service is intended for informational and administrative support purposes only. The Service does not provide legal, clinical, or accreditation decisions and should not be relied upon as such.

3. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. Accounts provided on behalf of an institution may only be used by authorized employees, contractors, or representatives of that institution.

4. User Accounts

You may be required to create an account to access certain features. You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Be responsible for all activity under your account

Conplexus may suspend or terminate accounts for any violations of these Terms.

5. Acceptable Use

You agree not to:

  • Access the Service using automated tools (bots, scrapers, crawlers) unless explicitly permitted
  • Reverse engineer, decompile, or modify the Service
  • Use the Service to store or transmit unlawful, harmful, or infringing content
  • Upload protected health information (PHI) or sensitive student-level data unless expressly permitted in a written agreement
  • Interfere with or attempt to disrupt the Service's operation or security
  • Use the Service for competitive research or benchmarking without permission

6. Data Privacy & Security

Your use of the Service is also governed by our Privacy Policy.

6.1 User Data

You retain all rights to the data you upload or provide ("User Data"). You grant Conplexus a limited license to store, process, and display User Data solely to operate and improve the Service.

6.2 Sensitive Data Restrictions

Unless a separate written agreement is executed:

  • No PHI (Protected Health Information) may be uploaded.
  • No FERPA-protected student identifiers may be uploaded.
  • All sample or demonstration datasets must be de-identified.

Conplexus is not responsible for any user's improper submission of restricted data.

6.3 Third-Party Services

The Service may integrate with third-party tools (e.g., Google Analytics, Zoho Mail). Use of third-party services is subject to their respective policies, and Conplexus is not responsible for third-party failures or breaches.

7. Intellectual Property

All intellectual property related to the Service, including:

  • Software code
  • UI/UX designs
  • Trademarks (including CurricuLogic™)
  • Branding
  • Documentation

is owned exclusively by Conplexus LLC.

You may not copy, modify, or distribute any part of the Service without prior written consent.

8. Service Availability & Modifications

The Service is provided "as is" and "as available." Conplexus may:

  • Update or modify the Service at any time
  • Temporarily suspend access for maintenance
  • Discontinue features or modules

without liability.

Conplexus is not responsible for delays, outages, or data loss arising from hosting providers or third-party infrastructure.

9. Disclaimers

9.1 No Warranty

The Service is provided without warranties of any kind, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

9.2 Accreditation & Compliance Disclaimer

The Service does not guarantee:

  • Accreditation outcomes
  • Compliance with ACPE, ABET, NECHE, or any accrediting body
  • Institutional approval
  • Correctness of user-submitted mappings or analyses

Estimates of time saved, efficiency improvements, or financial value are projections only and not guarantees.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Conplexus LLC is not liable for indirect, incidental, special, consequential, or punitive damages
  • Conplexus is not responsible for institutional decisions based on the Service's outputs
  • Total liability in any claim is limited to the amount paid to Conplexus in the 12 months preceding the claim

Some jurisdictions do not allow certain limitations, so they may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Conplexus LLC from any claims arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your submission of restricted or sensitive data

12. Termination

Conplexus may suspend or terminate your account at any time, with or without notice, for:

  • Violations of these Terms
  • Security concerns
  • Misuse of the Service
  • Institutional request

You may stop using the Service at any time.

13. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles.

Any disputes must be resolved in the state or federal courts located in Connecticut, and you consent to personal jurisdiction there.

14. Changes to Terms

Conplexus may update these Terms from time to time. Continued use after updates constitutes acceptance of the revised Terms.
